Manager5 Terms for Electronic Services

1. Service Provider
The electronic services described in these Terms are provided by:

2. Nature and scope of these Terms
- These Terms govern the electronic provision of the Manager5 website, accounts and functions, the requirements for their use, prohibited content, the formation and termination of electronic service contracts and the complaint process.
- Manager5 is intended for professional or business use by companies and other organisations. It is not offered as a consumer service.
- A person using Manager5 on behalf of a customer confirms that the customer has authorised them to do so.
- Paid access to Manager5 requires acceptance of a separate Manager5 service agreement and an Order. These Terms alone do not grant a paid plan, allowance or entitlement.
3. Definitions
In these Terms:
- TJSOFT or Service Provider means TJSOFT SP. Z O.O.;
- Manager5 means the online service available at https://manager5.com together with the functions made available there;
- Customer means a company or other organisation that uses Manager5 or intends to enter into an agreement;
- User means an individual who uses Manager5 on behalf of a Customer;
- Account means a User's access to protected Manager5 functions;
- Main Agreement means the Manager5 service agreement accepted by the Customer, including provisions governing the processing of Customer Data;
- Order means the accepted commercial terms, including the selected plan, scope, term, price, currency, billing method and entitlements;
- Customer Data means data entered into Manager5 by the Customer or its Users;
- Electronic Services means the services described in section 4.
4. Types of Electronic Services
TJSOFT may provide the following Electronic Services:
- access to the public Manager5 website, service information and legal documents;
- contact, sales, ordering and support forms;
- creation and administration of an Account;
- access to Manager5 functions covered by the Main Agreement and Order;
- delivery of Account, security, Order, billing and service operation notices;
- handling of requests and communications associated with the use of Manager5.
The detailed scope, limits and commercial terms of the paid service are determined solely by the Main Agreement and Order.
5. Requirements for using the service
Using Manager5 requires:
- a device with Internet access;
- a current and supported web browser;
- an active email address where a function requires an Account or service notices;
- technologies required to maintain a session, support sign-in and protect the Account to be enabled.
The Customer is responsible for its devices, Internet connection, software updates on its side and network access charges.
Use of the Internet involves ordinary risks such as phishing, malicious software, compromise of sign-in details and connectivity interruptions. A User should use current software, protect sign-in details and check that the connection is to the correct manager5.com domain.
6. Formation of an Electronic Service contract
- A contract for use of the public website is formed when a User opens a page and ends when the User leaves it.
- A contract for handling a form is formed when the User submits it and ends when the matter is handled, subject to data protection and correspondence retention duties.
- A contract for an Account is formed after the required registration steps are completed and the documents presented during that process are accepted.
- The paid Manager5 service is activated only after the Main Agreement and Order have been validly accepted and the activation conditions stated in them have been met.
- Before entering into a contract, the Customer should read these Terms and may save a copy.
7. Accounts and access
- Information provided during Account registration and administration must be accurate, current and sufficient for the relevant activity.
- A User must not share their sign-in details with an unauthorised person. The Customer should give each person separate access where Manager5 provides that option.
- The Customer is responsible for managing its Users' permissions and revoking them when a person is no longer authorised.
- Suspected Account compromise or unauthorised access must be reported promptly to kontakt@tjsoft.pl.
8. Acceptable use
The Customer and each User agree to:
- use Manager5 in accordance with law, the Main Agreement, Order and these Terms;
- enter only data and content they are entitled to use;
- limit access to authorised persons;
- not bypass security, limits, permissions or billing rules;
- not disrupt the service or attempt unauthorised access;
- not use Manager5 to infringe another person's rights;
- not introduce malicious software or content capable of damaging the service or another person's device;
- follow the data and use restrictions stated in the Main Agreement.
9. Prohibited content
- Providing unlawful content is prohibited, including content that infringes another person's rights or is used for fraud, unlawful acquisition of data, harassment, discrimination, violence or a criminal offence.
- TJSOFT is not required to approve Customer Data before it is stored, but may take action required by law or necessary to protect the service and other persons.
- A credible report of unlawful content may be sent to kontakt@tjsoft.pl. It should identify the content or its location, explain why it is considered unlawful and include contact details for the reporting person.
- TJSOFT may preserve evidence, restrict access or remove content where required by law or a binding authority decision, or where necessary to stop an immediate threat. Where legally permitted, we will inform the Customer of the reason for the action.
10. Security, interruptions and function changes
- TJSOFT applies measures appropriate to the nature and risks of the service, but no online service can guarantee that interruptions or threats will never occur.
- Access may be temporarily restricted because of maintenance, a failure, a security threat, a communications provider issue or circumstances outside TJSOFT's reasonable control.
- Where an interruption is planned and may materially affect the Customer, TJSOFT will provide advance information where reasonably possible.
- Availability commitments, response times and other service levels apply only if expressly stated in the Main Agreement or Order.
11. Suspension or restriction of access
TJSOFT may proportionately suspend or restrict access where required to:
- protect an Account, data or the service against a current threat;
- stop unlawful or materially harmful use;
- comply with law or a decision of a competent authority;
- apply rules concerning overdue payment or a material breach of the Main Agreement.
Where the situation permits, TJSOFT will tell the Customer the reason and a safe way to restore access. A restriction should last no longer and apply no more broadly than necessary to address its cause.
12. Termination of Electronic Services
- A User may stop using the public website or a form at any time.
- The Customer may end the Account service using a function made available in Manager5 or by contacting TJSOFT, subject to obligations under an active Main Agreement.
- The Main Agreement and Order govern termination, non-renewal, the end of the paid service, billing, export and deletion of Customer Data.
- Closing an Account does not delete data that TJSOFT must retain under law or to protect legal claims, security or evidence of the formation and performance of a contract.
13. Fees and payments
Use of the public website and viewing legal documents is free, excluding the User's connectivity charges.
The price, currency, tax, billing period, term, payment method, renewal and scope of paid Manager5 are stated in the Order and Main Agreement. Information displayed outside an accepted Order does not amend its terms.
14. Intellectual property
Rights in Manager5, its elements, branding and TJSOFT materials belong to TJSOFT or the relevant licensors. The Customer receives only the right to use the service within the scope of the Main Agreement and Order.
The Customer retains its rights in Customer Data. It gives TJSOFT the right to process Customer Data only to the extent required to provide and secure the service and meet obligations under the Main Agreement or law.
15. Liability
- Liability for the paid Manager5 service, including its limitations and circumstances in which those limitations do not apply, is governed by the Main Agreement.
- To the fullest extent permitted in a business-to-business relationship, TJSOFT is not responsible for consequences caused by:
- use contrary to documentation, these Terms, the Main Agreement or Order;
- an act or omission of the Customer, a User or another person to whom the Customer gave access;
- defects in devices, software, connectivity or services selected and controlled by the Customer;
- unauthorised, unlawful or incorrect Customer Data;
- an event outside TJSOFT's reasonable control.
- Nothing in these Terms excludes liability that cannot lawfully be excluded under mandatory law.
16. Privacy and cookies
TJSOFT's processing of personal data as a controller is described in the Privacy Notice:

17. Complaints
- A complaint about an Electronic Service may be sent to kontakt@tjsoft.pl.
- It should include information that allows us to identify the Customer or Account, a description of the event, its date or period, the requested outcome and contact details for the response.
- A complaint must not include a password, access code or unnecessary personal data.
- TJSOFT may ask for information required to investigate the matter properly.
- The complaint will be handled within any period required by applicable law or, if the law does not set a period, without undue delay. If the matter requires a longer investigation, TJSOFT will provide a status update.
- Making a complaint does not limit rights under the Main Agreement or mandatory law.
18. Changes to these Terms
- TJSOFT may amend these Terms where required by a change in law, security, the way Electronic Services are provided or their functions.
- The current version will be available on manager5.com and will state its document date and effective date.
- If a change materially affects a Customer's current use, information will be provided through Manager5 or to the business contact address where reasonably possible.
- A change to these Terms does not retrospectively amend an accepted Order or Main Agreement. Its effect on an ongoing paid service is governed by those documents.
19. Document priority and governing law
For a conflict concerning the paid service, the Order prevails for specific commercial terms, followed by the Main Agreement and then these Terms.
Polish law applies to these Terms. The Main Agreement governs jurisdiction and dispute resolution for the paid service, subject to any mandatory rules that the parties cannot exclude.
These Terms may be made available in Polish and English. The language version identified in the Main Agreement or Order applies to the relevant relationship.
